FSN CAPITAL IV INVESTERER I NETCOMPANY A/S

23/12 2015

In partnership with FSN Capital, the successful Danish IT company Netcompany will further accelerate growth and create a strong foothold in Northern Europe.

FSN Capital IV has signed an agreement to acquire a majority stake in Netcompany A/S. The founders and existing management will re-invest alongside FSN Capital and will continue to own a large stake in the company. Netcompany has achieved great success as an IT supplier to both the public and private sector in recent years and the founders and existing management will continue to lead the company and drive its high growth ambitions going forward.

Netcompany’s goal for the coming years is to develop an even greater presence in other Northern European countries through both organic growth and acquisitions. Today, the company has more than 700 employees in offices in Copenhagen, Aarhus, Aalborg, Odense and Warsaw – and has in recent years managed to increase its market share in Denmark.

Based on a highly talented workforce, a constant focus on quality and delivery on time and on budget, Netcompany has succeeded in creating a very strong position in the market and has generated annual growth rates of more than 20% on both the top and bottom line since its foundation in 1999. The partnership with FSN Capital secures access to capital and knowledge for the next part of the journey, which could ultimately lead to an IPO.

“On behalf of Netcompany and our employees, I am very pleased that we now have a strong partner on board. Combined with our unique delivery-culture, brand and reputation, we now have the foundation to fulfil our ambition of becoming the largest and most successful IT supplier in the Danish market. At the same time, I look forward to establish a solid presence in other countries in cooperation with FSN Capital”, says co-founder and CEO André Rogaczewski. He is pleased to see how quickly the process was executed and an definitive agreement reached, so that the company’s focus can again be fully directed at increasing its market share.

For FSN Capital, the partnership provides strong potential to export Netcompany’s strengths in the large, mission-critical IT projects to the rest of Northern Europe.

“We have followed Netcompany for a long time and have been particularly impressed by the company’s ability to position itself in the Danish IT market and be the driving factor in the market’s development. In our view, there is a large potential to further develop the company and its position together with Netcompany’s competent employees and management, both in Denmark and the rest of Northern Europe”, says Thomas Broe-Andersen, Partner at FSN Capital.

FSN Capital was advised by Deloitte Corporate Finance, Plesner, PwC, Bulger Partners and Intuitus. Financing is provided by Danske Bank.

The transaction is subject to regulatory approvals from the competition authorities.
